    I. INTRODUCTION

    Welcome to Hedra Farm (“we,” “us,” or “Hedra Farm”). By accessing or using the hedrafarm.com website and our services, you agree to be bound by these Terms and Services (“Terms”). Please read these Terms carefully before using our services.

    II. USE OF SERVICES

    You agree to use our services only for lawful purposes and in compliance with these Terms. You must not use our services in any way that violates applicable Vietnamese law or infringes the rights of others.  

    III. ACCOUNTS

    If you create an account on our website, you are responsible for maintaining the confidentiality of your account information and password. You agree to be responsible for all activities that occur under your account.  

    IV. PRODUCTS AND PRICING

    We strive to provide the most accurate information about products and pricing. However, we do not guarantee that all information is completely accurate, complete, or up-to-date. We reserve the right to change prices and product information without prior notice.

    V. ORDERING AND PAYMENT

    When you place an order, you agree to pay the full amount specified, including shipping costs (if applicable) and applicable taxes (if any). We accept the payment methods listed on our website.

    VI. GUIDELINES FOR BULK ORDERS

    For large quantity orders, we strongly recommend starting with an initial order of just one box. This initial order will help you:

    • Check product quality: Ensure the product meets your expectations and requirements.
    • Check the shipping and customs clearance process: Ensure that customs clearance procedures in your country run smoothly.

    Starting with a small order will help minimize potential risks associated with large shipments. After successfully receiving and checking your initial order, you can confidently place a bulk order.

    VII. SHIPPING AND DELIVERY

    We will endeavor to deliver orders within the estimated timeframe. However, we are not responsible for any delays due to factors beyond our reasonable control (e.g., natural disasters, pandemics, shipping issues).

    VIII. RESPONSIBILITY FOR SHIPPING

    Hedra Farm's responsibility for your order ends upon delivery of the goods to the chosen shipping carrier and providing you with the tracking information (e.g., tracking code).

    • Regarding Shipping Risks:

      • Hedra Farm often uses specialized shipping services to optimize shipping costs for customers. This shipping method has the advantage of lower shipping fees compared to other methods, but the shipping time can be extended from 10-15 days. Please note that specialized shipping services usually do not provide insurance for risks of loss or misplacement of goods.
      • From the time Hedra Farm hands over the goods to the shipping carrier, the risk of loss, damage, or delay belongs to the customer. Hedra Farm will assist you by providing the shipping carrier's contact information. Due to the nature of specialized shipping services, which offer low costs and no insurance, filing a claim in case of loss or damage is very difficult, or even impossible. You should carefully consider this risk before choosing this shipping method. Hedra Farm is not responsible for compensation for any loss or damage incurred during shipping.

    • Import Issues: It is your responsibility to understand and comply with the import laws of your country. Hedra Farm is not responsible if goods are detained or confiscated due to violations of import laws.

    IX. RETURNS AND REFUNDS

    X. INTELLECTUAL PROPERTY

    All content on our website, including but not limited to text, images, logos, icons, software, is the property of us or our content suppliers and is protected by Vietnamese intellectual property law.

    XI. LIMITATION OF LIABILITY

    To the maximum extent permitted by Vietnamese law, we are not liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our services.  

    XII. ARBITRATION CLAUSE

    Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration Rules of the Vietnam International Arbitration Centre (VIAC). The arbitral award is final and binding on both Parties.  

    A. Negotiation: The Parties undertake to resolve disputes through amicable negotiations within 30 days from the date one Party sends a written notice of dispute to the other Party. The dispute notice must clearly state the nature and grounds of the dispute.

    B. Place of Arbitration: The place of arbitration shall be Hanoi, Vietnam.

    C. Language of Arbitration: The language to be used in the arbitral proceedings shall be Vietnamese/English (depending on the agreement between the parties).

    D. Arbitration Costs: Advance Payment: The Customer shall advance the full amount of the arbitration costs (including but not limited to: the arbitration filing fee, arbitrator fees (including remuneration and related expenses such as travel and accommodation), VIAC administrative fees, legal fees (if any), expert fees (if any), translation fees (if any), other reasonable expenses incurred in connection with the arbitration proceedings).

    Payment Deadline: The Customer must advance the costs within 15 days of receiving the cost advance request notice from VIAC. Final Allocation of Costs: The final allocation of arbitration costs shall be decided by the Arbitral Tribunal and specified in the arbitral award. The Arbitral Tribunal shall consider all factors relevant to the case, including the extent of each Party's breach. Reimbursement of Costs: Hedra Farm shall reimburse the Customer for the portion of the advanced costs that the Customer is not liable for according to the Arbitral Tribunal's award within 15 days of Hedra Farm receiving the arbitral award.

    XIII. GOVERNING LAW

    These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

    XIV. CHANGES TO TERMS

    We reserve the right to change these Terms at any time. Changes will be effective immediately upon posting on our website.
